These Terms of Service ("Terms") govern your use of MarketSapien, operated by Reaves Labs & Learning ("RLL", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Educational Content Disclaimer

MarketSapien is an educational platform. Nothing on this platform constitutes investment advice, financial advice, trading advice, or any other sort of professional advice.

All content, including modules, assessments, paper trading simulations, AI-generated analysis (SAGE), and community discussions, is provided for educational and informational purposes only. You should not make any financial decisions based solely on information provided by MarketSapien. Always consult with a qualified financial advisor before making investment decisions.

Paper trading simulations use fictional virtual capital at real-time market prices. No real money is at risk during paper trading. Past performance of any simulated strategy does not guarantee future results.

2. Account Responsibilities

You must be at least 18 years old to create an account
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activity that occurs under your account
You agree to provide accurate and complete information when creating your account
You must notify us immediately of any unauthorized use of your account

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or its infrastructure
Scrape, crawl, or use automated means to access the Service without permission
Share your account credentials with others
Misrepresent your identity or affiliation
Upload or transmit malicious code

4. Subscriptions & Payments

MarketSapien offers free and paid subscription tiers. For paid subscriptions:

Subscriptions are billed on a recurring basis (monthly or annual) unless cancelled
You may cancel your subscription at any time; access continues until the end of the current billing period
Prices are subject to change with 30 days’ notice to existing subscribers
Refund requests are handled on a case-by-case basis within 14 days of purchase
In-app purchases on iOS are subject to Apple's terms and refund policies

Founding Member lifetime access is a one-time purchase and is non-refundable after 14 days, except as required by law.

5. Intellectual Property

All content, design, code, graphics, logos, and trademarks on MarketSapien are the property of Reaves Labs & Learning or its licensors and are protected by intellectual property laws. MARKETSAPIEN is a registered trademark (Serial #99655146, Class 041).

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Service without our prior written consent.

Philosophical and academic references within our educational content are used for educational commentary under the doctrine of nominative fair use. MarketSapien is not affiliated with, endorsed by, or sponsored by any referenced authors, philosophers, their estates, or their publishers.

6. AI-Generated Content

SAGE and other AI features provide generated responses based on educational models. AI-generated content may contain errors or inaccuracies. You should verify any information before acting on it. AI responses do not constitute professional advice of any kind.

7. User-Generated Content

If you submit content through the Service (e.g., community posts, journal entries), you retain ownership of your content but grant us a non-exclusive, worldwide license to use, display, and distribute it within the Service. You represent that you have the right to share any content you submit.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REAVES LABS & LEARNING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE ARE NOT RESPONSIBLE FOR ANY FINANCIAL LOSSES RESULTING FROM TRADING DECISIONS MADE BASED ON INFORMATION OR EDUCATION PROVIDED THROUGH THE SERVICE.

9. Indemnification

You agree to indemnify and hold harmless Reaves Labs & Learning, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

11. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the courts located in Los Angeles County, California.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
